GR Silver Increases Bought Deal Offering to $17.5 Million
GR Silver Mining Ltd. has announced a significant increase in its bought deal offering, now totaling approximately $17.5 million. The Vancouver-based company, which focuses on mineral exploration in Mexico, entered into an amended agreement with Research Capital Corporation as the sole bookrunner and co-lead underwriter, alongside Red Cloud Securities Inc..
Under the revised terms, the underwriters will purchase 58,334,000 units of the company at a price of $0.30 per unit, yielding gross proceeds of $17,500,200. The offering consists of two components: 33,334,000 units for gross proceeds of $10,000,200 issued under the LIFE Exemption, and 25,000,000 units for gross proceeds of $7,500,000 through a private placement.
Each unit comprises one common share and half a warrant, with the whole warrant allowing the purchase of an additional common share at an exercise price of $0.42 for a period of 36 months following the completion of the offerings.
Utilization of Proceeds and Regulatory Details
The net proceeds from this offering will primarily fund the advancement of GR Silver Mining’s Plomosas Project in Mexico, alongside general working capital and corporate purposes. Additionally, the underwriters have an option to increase the size of both offerings significantly, potentially raising total gross proceeds to just over $20 million if fully exercised.
The LIFE Offering is structured to comply with the ‘listed issuer financing exemption’ under Canadian securities laws and will be available in all provinces of Canada, with the exception of Quebec, as well as in other qualifying jurisdictions, including the United States. Notably, the units under the LIFE Offering will be “free-trading” immediately under applicable Canadian laws.
The private placement is designated for accredited investors in Canada and may also extend to jurisdictions where the offering is legally permissible. Units from this private placement will be subject to a statutory hold period of four months and one day post-closing.
Closing of the offerings is anticipated around the week of December 15, 2025, contingent on receiving necessary regulatory approvals, including from the TSX Venture Exchange. The underwriters will receive a cash commission of 6% of the total gross proceeds along with broker warrants equating to 6% of the units sold.
