Keel Digital Solutions Pushes for Quick Resolution Amid $29.5M Lawsuit
The legal battle involving Keel Digital Solutions escalates as the company faces a lawsuit from the Ford government amounting to $29.5 million. The government accuses Keel of submitting fraudulent data regarding counseling services provided to students on college and university campuses. In response, Keel has moved to expedite the case by seeking a transfer to commercial court, a request that the government is currently opposing.
Keel Digital Solutions, through its subsidiary Get A-Head, received substantial funding from both the Ministry of Colleges and Universities and the Ministry of Labour for its services. The government alleges that the company submitted “fraudulent” reports and was “unjustly enriched.” Keel has countered these allegations, claiming that the government’s arguments are based on “misstatements and outright inaccuracies.”
In an effort to mitigate the impact of the lawsuit, Keel’s executives have filed a motion to shift the case to the Superior Court’s Commercial List. The company argues that a faster resolution is essential to protect both its reputation and its operational viability. “Keel is ready to have the facts tested,” the company stated. “If the Province truly believes in its own allegations, it should have no hesitation in advancing this matter immediately in the Commercial Court.”
The filing outlines that the lawsuit, initiated in early January, has severely affected the company. Keel claims that it has had to lay off at least 30 employees and is facing potential bankruptcy as a result of the government’s actions. The motion emphasizes that the ongoing legal proceedings could take years, causing irreparable damage to the individuals involved and the company itself.
In a legal rebuttal, the Ministry of the Attorney General has argued that the case is not suitable for commercial court. The government maintains that the central issues revolve around compliance with provincial funding agreements and allegations of fraud. The government has already taken steps to advance the lawsuit by requesting internal data related to Keel’s counseling services, including session details and participant information, which they claim have not been submitted.
The controversy intensified last November when the Ford government referred findings of a forensic audit into Keel to the Ontario Provincial Police, which has since launched its own investigation. The government stated that a routine audit raised significant concerns, prompting the forensic examination and police referral. Keel has vehemently denied these claims, questioning the audit’s integrity and methodology.
In January 2024, the Ford government filed its lawsuit against Keel, alleging breaches of contract and providing misleading reports from 2022 to 2025. Keel has counterclaimed for damages totaling $98 million, citing withheld payments and loss of corporate value. The company argues that the audit process was flawed and that the government’s actions were intended to harm its reputation.
Both the government’s allegations and Keel’s responses remain unproven in court, and no criminal charges have been laid in connection with the police investigation. The motion to transfer the case to the Commercial List is set to be heard in early March 2024, as both parties prepare for what promises to be a protracted legal battle.
